Terms & Conditions

These terms govern your use of lathelabs.dev and any services provided by Lathe Labs Ltd(“Lathe”, “we”, “us”). By engaging our services or using this website you agree to these terms. Individual project engagements are governed by a separate Statement of Work or Engagement Letter which takes precedence over these general terms where they conflict.

1. Services

Lathe provides web application development, AI agent and platform builds, managed hosting, and ongoing care retainer services. The scope, deliverables, timeline and price for each engagement are agreed in writing before work begins. We do not commence substantive work without a signed scope document or written confirmation of terms.

2. Payment terms

  • Fixed-price projects

    50% deposit due before work commences; 50% due on completion. The deposit is non-refundable once work has begun, unless Lathe terminates the engagement without cause.

  • Care retainers

    Billed monthly in advance by invoice. Payment due within 14 days of invoice date. Services are suspended if payment is more than 30 days overdue.

  • Managed hosting

    Billed monthly in advance. Hosting is suspended after 30 days of non-payment and terminated (with data deletion notice) after 60 days.

  • Late payment

    We reserve the right to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above Bank of England base rate.

3. Intellectual property

On receipt of full payment, all custom code and deliverables created specifically for your project transfer to you. Lathe retains ownership of: (a) pre-existing internal tooling and libraries; (b) general patterns, techniques and know-how; and (c) open-source components subject to their own licences. We retain the right to reference the project in our portfolio unless you request otherwise in writing.

4. Confidentiality

Both parties agree to keep confidential any non-public information received from the other in connection with an engagement. This obligation survives termination of the engagement for 3 years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

5. Warranties and liability

We warrant that services will be performed with reasonable skill and care. We do not warrant that software will be entirely error-free. Our aggregate liability to you for any claim arising from an engagement is capped at the total fees paid for that engagement in the preceding 12 months. We are not liable for any indirect, consequential, or loss-of-profit damages. Nothing in these terms limits liability for death, personal injury, fraud, or other liability that cannot be excluded under English law.

6. Hosting service levels

Managed hosting is provided with a 99.9% monthly uptime target (Starter and Professional plans) or 99.95% (Enterprise). Uptime is measured excluding scheduled maintenance windows (notified with at least 24 hours' notice) and force majeure events. Service credits are available where SLA targets are missed — contact contact@lathelabs.dev within 5 business days of the incident.

7. Termination

Either party may terminate a care retainer or hosting plan with 30 days' written notice. Fixed-price project scopes may be terminated by mutual agreement; fees for work completed to date are due on termination. We may terminate immediately for non-payment, breach of these terms, or if you use our services for unlawful purposes.

8. Acceptable use

You agree not to use any Lathe-hosted infrastructure for: spam or unsolicited communications; malware distribution; DDOS attacks or similar abuse; any activity that is unlawful under UK law; or any activity that would expose Lathe to legal liability. Breach of acceptable use is grounds for immediate service termination.

9. Governing law

These terms are governed by the laws of England and Wales. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales. We will always try to resolve disputes directly first — contact contact@lathelabs.dev.

10. Changes to these terms

We may update these terms. For ongoing retainer and hosting clients, material changes are communicated with 30 days' notice. Continued use of services after that notice period constitutes acceptance of the updated terms.
